FORTUNE SMALL BUSINESS
Sunday, December 1, 2002 By Paul Hochman Chris Crowley, arms folded over his crisp yellow tie, is staring at a very loud, very wet machine. The contraptiona $600,000 Crown Simplimatic soda canner he bought for $225,000is working flawlessly, sweating out a cooling mist of Polar Orange Dry soda pop. A tropical tang suffuses the bottling-factory air. The humid, citric spritz would be calming if it weren't for the noise. The machine roars: In the minute he stands there, the Simplimatic fills, tops, and seals 1,200 cans. In the next 60 minutes, 72,000 of them will fly by. Crowley, who is vice president of the Worcester, Mass.?based Polar Beverages, motions me over, pointing at the aluminum blur and the rows of cans gliding toward the end of the production line. "Look at all those skiers," he shouts over the din, "getting on chairlifts."

Q and A with Jim Collins: Secrets to Success
Want to know what it takes to create a company that will thrive a hundred years or more? Answers from the man who wrote two bestsellers on the topic.
FORTUNE SMALL BUSINESS

What enables a company to endure has nothing to do with charismatic leadership and little to do with the products it sells. So insists author Jim Collins, whose first book, Built to Last (co-authored by Jerry Porras; HarperBusiness, $25), spent more than two years on bestseller lists in part because it introduced what seemed like a newfangled notion to business readers in the mid-1990s: history matters. By studying companies that are both enduring and great, Collins hit upon what they had in common a core purpose. Companies like Marriott and Hewlett-Packard knew what they stood for and why they existed, he argues, and as a result could successfully adapt to changes in their markets. Collins's latest book, Good to Great (HarperBusiness, $27.50), shows how companies whose roots foretold neither greatness nor endurance, rose to become exemplary performers. What does it take for a family business to survive a century or more? For answers, we asked Collins.

The federal Family and Medical Leave Act (FMLA) requires large employers to permit employees to take up to 12 weeks of unpaid leave if they become seriously ill, have complications due to pregnancy, become a parent, or need to care for a family member who has a serious health condition. Not all employees are entitled to this leave. Your state might have a law that covers more employers or gives greater rights than the federal FMLA.

Can I fire an employee without "good cause"?
Yes, if the em ployee is an "at will" employee. But some employees have contracts that say that the employee "cannot be terminated without good cause." Those contracts probably changed them from being "at-will" employees to "good cause" employees. Those contracts can be enforced even if they are oral contracts [link to employment contracts] rather than written contracts [link to employment contracts] - although it's often harder for the employee to prove there was an oral contract and what its terms were.
Can a "good cause" contract be implied?

    Small and Family Business Group
IN TODAY'S MODERN LEGAL AND BUSINESS CLIMATE, SMALL BUSINESSES AND FAMILY BUSINESSES ROUTINELY NEED EXPERT LEGAL ADVICE as much as larger businesses. For example, just as big companies do, smaller businesses hire and discipline employees, rent or buy real estate for their offices or facilities, contract with suppliers and customers, use and buy computer systems, collect accounts receivable, expand by purchasing other businesses, and sell their businesses. Small business owners also face personal financial and estate planning issues, which are just as important to them as those confronted by the CEO of a major corporation. HOWEVER, SMALL BUSINESSES HAVE SPECIAL NEEDS that larger enterprises often do not. Legal budgets are typically tighter. Each legal issue frequently has a larger impact upon the success or failure of the business. Disputes among owners can paralyze business operations. Family-run businesses often face succession issues, as younger generations begin to play a greater role in management. Serious estate and tax issues can arise upon the death of family business owners. is composed of attorneys and paraprofessionals who have substantial experience in the business and legal issues commonly confronted by small businesses and family businesses. They come from a variety of the Firm's departments. Each brings an expertise in a specialty area of the law, enabling them to provide reliable solutions to legal problems based upon their up-to-date familiarity with the law as it constantly changes and evolves. In addition, their expert knowledge of their fields allows them to provide answers in significantly less time than attorneys with only a passing familiarity with the issues and the law, in turn reducing our clients' legal costs.

    http://sbdc.deltacollege.org/inbusiness/family.html
Family-Owned Business A lmost 90% of companies in the U.S. are family-owned. But the majority of these don't make it to the next generation and only about 10% make it to the third. Although a family-owned business can be extremely rewarding, it also involves a unique set of difficulties and challenges that must be faced if the business is to survive. The main difficulties in family-owned businesses come from issues such as communication, the stress of working together day-to-day , and surviving succession. Communication is vital in a family business. Relationships can become confusing as family members have to operate in different roles in the family and business. In the business, there needs to be clear mechanisms to deal with conflict that avoids the family dynamics. Successful systems include: establishment of policies before issues arise, regular family business meetings to discuss issues, and working with an outside facilitator to work through conflicts. Management questions also need to be addressed. Establish clear job descriptions and lines of authority so that both family and non-family employees understand the chain-of-command. Often, an independent board of directors can help maintain objectivity in management decisions. Succession is the biggest challenge that faces family-owned businesses. This can be a highly emotional topic for a number of reasons. If a business is to survive succession, it is important to begin the process earlya decade or more is not too soon. This provides the time to discuss the issues and decide how the ownership and leadership will be divided. It also allows time to train the successor. It is also important to set a timetable for succession.
